This document is an electronic record in terms of Information Technology Act, 2000 and rules thereunder as applicable and the amended provisions pertaining to electronic records in various statutes as amended by the Information Technology Act, 2000. This electronic record is generated by a computer system and does not require any physical or digital signatures.

This document is published in accordance with the provisions of Rule 3(1) of the Information Technology (Intermediary Guidelines and Digital Media Ethics Code) Rules, 2021 that require publishing the rules and regulations, privacy policy and Terms of Use for access or usage of domain name fitastra.co ('Website'), including the related mobile site and mobile application (hereinafter referred to as 'Platform').

The Platform is owned by Gourav Rajwani, trading as FitAstra, a sole proprietorship firm registered in India, having its principal place of business at G 118, Street No 08, Ward No 20, Sriganganagar, Sri Ganganagar, Rajasthan – 335001, India (hereinafter referred to as "FitAstra", "Platform", "we", "us", "our").

By accessing, browsing, or using the Platform, you ("User", "you", "your") acknowledge that you have read, understood, and agree to be bound by these Terms of Service ("Terms") and our Privacy Policy. If you do not agree to these Terms, you must not access or use the Platform.

1. DEFINITIONS

  • "Platform" means the FitAstra website (fitastra.co), mobile application, and all related services provided by FitAstra.
  • "User" means any person who accesses the Platform, including Clients and Trainers.
  • "Client" means a User who books sessions or purchases packages from Trainers through the Platform.
  • "Trainer" means an independent fitness professional, wellness coach, or instructor who offers services through the Platform.
  • "Session" means a scheduled one-on-one video consultation between a Client and a Trainer.
  • "Package" means a bundle of multiple sessions purchased by a Client from a Trainer at a discounted price.
  • "Wallet" means the FitAstra Wallet, a closed-loop prepaid payment instrument that stores credits for use on the Platform.
  • "Content" means all text, graphics, images, videos, data, and other materials available on the Platform.

2. ACCEPTANCE OF TERMS

2.1. These Terms constitute a legally binding agreement between you and FitAstra. By using the Platform, you represent and warrant that:

  • You are at least 18 years of age or have parental/guardian consent
  • You have the legal capacity to enter into this agreement
  • You will comply with all applicable laws and regulations

2.2. We reserve the right to modify these Terms at any time. We will notify Users of material changes via email or in-app notification. Continued use of the Platform after such modifications constitutes acceptance of the revised Terms.

2.3. These Terms should be read in conjunction with our Privacy Policy, Refund & Cancellation Policy, and any other policies published on the Platform.

3. NATURE OF PLATFORM & SERVICES

3.1 Marketplace Platform

FitAstra operates as an online marketplace and technology platform that connects Clients with independent Trainers. We do not:

  • Employ, supervise, or control Trainers
  • Provide fitness, wellness, or medical advice directly
  • Guarantee the quality, accuracy, or results of Trainer services
  • Verify professional credentials beyond identity verification

3.2 Services Provided

The Platform provides:

  • Profile discovery and browsing of Trainers
  • Session booking and scheduling system
  • Secure payment processing via FitAstra Wallet
  • Video calling infrastructure for sessions
  • Chat messaging between Clients and Trainers
  • Package purchase and management
  • Customer support and dispute resolution

3.3 Intermediary Status

FitAstra functions as an "intermediary" as defined under Section 2(1)(w) of the Information Technology Act, 2000. We facilitate connections between Users but are not responsible for the conduct, services, or content of third parties (Trainers) using the Platform.

4. FITASTRA WALLET

4.1 Nature of Wallet

The FitAstra Wallet is a closed-loop prepaid payment instrument that:

  • Stores credits that can ONLY be used to purchase services on the Platform
  • Cannot be withdrawn, transferred to bank accounts, or converted to cash
  • Cannot be transferred to other Users
  • Does NOT earn interest or constitute a bank deposit
  • Is not a payment instrument licensed by the Reserve Bank of India

4.2 Adding Money to Wallet

Clients may add money to their Wallet using UPI, Credit/Debit Cards, Net Banking, or other payment methods authorized by our payment gateway partners (PhonePe, Razorpay, Paytm). FitAstra does NOT store your card details, UPI PIN, or banking credentials.

4.3 Non-Refundable Nature

Once money is added to your Wallet, it is NON-REFUNDABLE to your bank account or payment source, except as required by applicable law. All refunds for cancelled sessions or disputed transactions will be credited back to your FitAstra Wallet only.

4.4 Wallet Transaction Limits

Maximum wallet balance: No upper limit currently imposed.

Single transaction limit: As per payment gateway limits (typically Rs 1,00,000 per transaction).

We reserve the right to impose transaction limits at any time without prior notice.

4.5 Dormant Wallets

Wallets with no activity for 365 consecutive days will be marked as dormant. To reactivate, contact support@fitastra.co.

4.6 Trainer Wallet & Payouts

Trainer Payout Terms:

  • Trainers are paid on a monthly basis at the end of each calendar month
  • Payout processing time: 5–7 business days subject to verification
  • Minimum payout amount: Rs 500
  • Valid PAN and bank account details required for compliance
  • FitAstra reserves the right to withhold payouts pending dispute resolution or quality complaints

5. PLATFORM COMMISSION & FEES

5.1 Commission Structure

FitAstra charges a 20% service fee on all Trainer earnings from sessions and packages. Example: Client books a session for Rs 500 → Trainer receives Rs 400 (80%) → FitAstra retains Rs 100 (20%) as commission.

5.2 Payment Gateway Charges

Payment gateway transaction fees (typically 2–3%) are borne by FitAstra and not deducted from Client payments or Trainer earnings.

5.3 Verification Subscription

To become a verified Trainer and offer paid services on the Platform:

  • Subscription fee: Rs 999 per month (auto-renewing)
  • Non-refundable once payment is completed
  • Cancellable at any time; access revoked at billing period end
  • Required for earning through sessions, packages, and chat services

5.4 Taxes

All prices displayed are inclusive of applicable taxes unless otherwise stated. Trainers are responsible for their own tax obligations, including GST registration if their annual turnover exceeds the prescribed threshold.

6. BOOKINGS, SESSIONS & PACKAGES

6.1 Session Booking

A session booking is confirmed only when payment is successfully deducted from your Wallet.

Clients must join the video session within 10 minutes of the scheduled start time. Failure to join within this window will mark the session as "Completed" with no refund.

Trainers must join within 5 minutes of the scheduled start time. Failure to join may result in automatic refund to Client and penalties for the Trainer.

6.2 Cancellation Policy

Client-Initiated Cancellations:

  • Free Cancellation: Cancel up to 4 hours before scheduled start time for 100% Wallet refund
  • Late Cancellation: Cancellations within 4 hours of start time are non-refundable

Trainer-Initiated Cancellations:

  • If Trainer cancels, Client receives 100% Wallet refund instantly
  • Trainer may face penalties including warnings, suspension, or account termination

6.3 Package Purchase

  • Validity period displayed at purchase (typically 30–90 days)
  • Unused sessions expire after the validity period with no refund or extension
  • Sessions must be booked with the same Trainer from whom package was purchased
  • Packages cannot be transferred, gifted, or sold to other Users

6.4 Trainer Unavailability – Package Exception

If your assigned Trainer becomes unavailable during your active package period, contact support@fitastra.co immediately. We will offer:

  • Option A: Transfer remaining sessions to another verified Trainer of similar expertise
  • Option B: Proportionate refund to FitAstra Wallet — (Unused Sessions ÷ Total Sessions) × Package Price

7. REFUNDS & DISPUTES

7.1 Refund Destination

All refunds, for any reason, are credited ONLY to your FitAstra Wallet. We do not process refunds to original payment methods (bank accounts, cards, UPI) except as mandated by law.

7.2 Service Quality Complaints

If you experience service quality issues, report within 24 hours to support@fitastra.co with booking ID and details. We will investigate within 3–5 business days and take appropriate action including refunds and Trainer sanctions.

7.3 Technical Failures

If FitAstra server, app, or video infrastructure fails and prevents your session, you will receive a 100% Wallet refund. If failure is due to your internet connection or device, no refund will be issued.

7.4 Payment Disputes

For payment gateway errors or duplicate charges, contact support@fitastra.co within 7 days. Refunds processed within 14–21 business days as per payment gateway policies.

8. USER CONDUCT & PROHIBITIONS

8.1 Acceptable Use

  • Provide accurate and truthful information during registration
  • Maintain confidentiality of login credentials
  • Behave professionally and respectfully during sessions
  • Comply with all applicable laws and regulations

8.2 Prohibited Conduct

Users must NOT:

  • Record, screenshot, or stream any video/audio from sessions without explicit written consent
  • Engage in harassment, abuse, nudity, or inappropriate sexual conduct
  • Share login credentials or allow unauthorized access to accounts
  • Use the Platform for any illegal, fraudulent, or harmful activities
  • Reverse engineer, decompile, or attempt to extract source code
  • Scrape, crawl, or data mine the Platform using bots or automated tools
  • Upload malware, viruses, or malicious code
  • Impersonate others or create fake profiles

8.3 Content Ownership & Intellectual Property

Trainer Content: Workout plans, training methodologies, and guidance shared by Trainers remain their intellectual property. Clients receive a personal, non-transferable, non-commercial license for personal fitness use only.

Platform Content: All Platform content (logos, design, software, algorithms) is proprietary to FitAstra or its licensors. Unauthorized use is prohibited.

User-Generated Content: By posting reviews, comments, or photos, you grant FitAstra a worldwide, royalty-free, perpetual license to use, display, and distribute such content for Platform operations and marketing.

9. DISCLAIMERS & LIMITATION OF LIABILITY

9.1 "As Is" Basis

The Platform and all services are provided on an "AS IS" and "AS AVAILABLE" basis without warranties of any kind, express or implied.

9.2 No Medical Advice

FitAstra and Trainers do NOT provide medical advice, diagnosis, or treatment. Services are for general fitness and wellness purposes only. Consult a licensed medical professional before starting any exercise program, especially if you have pre-existing health conditions.

9.3 Assumption of Risk

You voluntarily assume all risks of physical injury, accidents, or property damage that may occur during sessions or while following Trainer advice. You are solely responsible for ensuring adequate space, appropriate fitness level, and medical clearance.

9.4 Trainer Independence

Trainers are independent contractors, NOT employees or agents of FitAstra. FitAstra is NOT liable for quality, accuracy, or safety of Trainer advice; injuries arising from Trainer conduct; disputes between Clients and Trainers; or Trainer background or certifications.

9.5 Limitation of Liability

FitAstra's total aggregate liability for any claims shall not exceed the amount paid for the specific transaction giving rise to the claim, or Rs 5,000, whichever is lower. FitAstra shall NOT be liable for indirect, incidental, or consequential damages.

9.6 Force Majeure

FitAstra shall not be liable for any failure or delay due to circumstances beyond our reasonable control, including natural disasters, pandemics, government actions, internet outages, or third-party service failures.

10. PRIVACY & DATA PROTECTION

Your use of the Platform is governed by our Privacy Policy, which forms an integral part of these Terms. By using the Platform, you consent to the collection, use, storage, and disclosure of your personal data as described therein.

11. TERMINATION & SUSPENSION

11.1 Termination by User

You may terminate your account at any time via in-app settings or by contacting support@fitastra.co. Upon termination, access ceases, active sessions/packages are cancelled, and wallet balance is forfeited.

11.2 Termination by FitAstra

We reserve the right to suspend or terminate your account immediately if:

  • You violate these Terms or any applicable laws
  • We suspect fraudulent, abusive, or illegal activity
  • Required by law enforcement or regulatory authorities
  • Your account is dormant for more than 365 days

12. INDEMNIFICATION

You agree to indemnify and hold harmless FitAstra, its directors, officers, employees, and agents from any claims, liabilities, or expenses arising out of your violation of these Terms, use or misuse of the Platform, interactions with Trainers, or violation of any third-party rights.

13. DISPUTE RESOLUTION & GRIEVANCES

13.1 Complaint Process

  • Step 1: Email support@fitastra.co with booking ID and issue details
  • Step 2: We will acknowledge within 24 hours
  • Step 3: Investigation and resolution within 7–15 business days
  • Step 4: Escalate to Grievance Officer if unresolved

13.3 Governing Law & Jurisdiction

These Terms shall be governed by the laws of India. Any disputes shall be subject to the exclusive jurisdiction of the courts in Sri Ganganagar, Rajasthan.

13.4 Consumer Rights

Nothing in these Terms limits your statutory rights under the Consumer Protection Act, 2019 or other applicable consumer protection laws.

14. MISCELLANEOUS PROVISIONS

These Terms, together with our Privacy Policy and any other referenced policies, constitute the entire agreement between you and FitAstra. If any provision is held invalid, the remaining provisions continue in full force. Our failure to enforce any right does not constitute a waiver. You may not assign your account without our prior written consent.
